Biography

Ethan Sinclair has a corporate commercial practice with an emphasis on project development in the infrastructure, energy, commercial and residential property sectors.

Ethan advises clients regarding project structuring, financing and procurement. Clients benefit from Ethan's knowledge in joint venturing; tendering and RFP documentation and processes; engineering, procurement and construction (EPC) and EPC management contracting; subcontract and supply agreements, service agreements, equipment leases, and performance security.

Ethan acts for procurement authorities, private sector proponents, developers, land owners, constructors and consultants and has acted as in-house counsel for one of the largest construction companies in Canada.

He has extensive experience with public infrastructure projects across Canada, including the structuring and implementation of myriad public-private partnership transactions. 

Ethan has also acted on merger, acquisition, and divestiture transactions regarding energy-related assets across Canada and offshore Canada's east coast.

  • The City of Ottawa with respect to its Ottawa Stage 2 LRT Project, advising in connection with the Trillium Line Extension Project and the Confederation Line Extension Project totalling $4.66 billion in investment
  • Public Works and Government Services Canada and the Department of Justice with respect to its Energy Services Acquisition Program valued in excess of $1.03 billion
  • The successful proponent in the design-build-finance procurement of a courthouse and related facilities in Southern Ontario
  • The design-builder as part of consortium in the design-build-finance-maintain procurement of a healthcare facility project in Newfoundland
  • A publicly traded company in respect of a proposed development of a combined-cycle power plant and cogeneration facilities in Alberta
  • The contracting authority in the design, build, finance, operation and maintenance redevelopment of an international airport
  • The project owner in the design, build, finance, operation and maintenance of a wastewater treatment facility in British Columbia
  • A developer in the engineering, procurement and construction of grid-connected battery storage facilities in Ontario
